TERMS AND CONDITIONS

Terms and Conditions of Trade

 

These terms and conditions ("Terms and Conditions") govern the provision of goods and services by Dopamine Limited, trading as Addition Cube NZ ("the Company"), to you ("you", "your", or "the Purchaser"). By placing an order, you acknowledge acceptance of these Terms and Conditions, signifying your agreement to abide by them as modified periodically.

Please review these Terms and Conditions each time you make a purchase, as they may be revised or updated over time.

1. Payment

All orders require immediate payment. If your payment is not accepted or verified, your order will not be processed.

2. Delivery

While the Company provides estimated delivery times, these are approximations only. The Company will not be held liable for delays, non-deliveries, or consequential damages resulting from such occurrences. Delivery quotations are offered in good faith but are non-binding.

Should access be necessary for successful delivery, you, as the Purchaser, are responsible for ensuring adequate access.

By ordering from us, you grant Addition Cube NZ and our couriers the authority to leave ("ATL") orders at the specified address, regardless of whether someone is present. We assume no responsibility for incorrect addresses or for parcels taken by third parties post-delivery.

The risk associated with the goods transfers to you upon dispatch from the Company's premises. All carriers are considered agents of the Purchaser.

In cases where goods are temporarily out of stock, the Company will provide them once available.

3. Claims on Shortages or Discrepancies

Any claims regarding shortages, discrepancies, or goods delivered due to Company errors must be submitted in writing to the Company within seven (7) days of delivery. The Company reserves the right to repair, replace, refund, or credit affected goods as deemed appropriate.

Failure to file a claim shall be taken as conclusive evidence that no issues were present.

4. Cancellation

Cancellation of an order requires written consent from the Company following order completion. The Company reserves the right to cancel orders, with notification and a refund issued, except for breaches by the Purchaser.

5. Warranty

Goods are covered by a warranty for material manufacturing defects during normal use and service within a 12-month period from the original purchase date, or as otherwise specified. Goods must be used, stored, and maintained per user instructions.

In case of warranty defects, the Company will repair or replace deemed faulty goods. Repaired or replaced goods retain the original warranty for the remaining period. Warranty claims must be submitted directly to the Company via email or our online portal.

Returned goods must be clean and dry. Risk during transit is on the Purchaser. Damaged or incomplete returns will not be accepted unless the reason for the claim relates to such damage.

6. Liability

The Company's total liability for loss, damage, or injury arising directly or indirectly from defects or non-compliance of goods will not exceed the purchase price. The Company is not liable for consequential, indirect, or special damages or losses, or for losses due to the Purchaser's actions.

The Purchaser indemnifies the Company against claims by its employees, agents, customers, or others resulting from defects, non-compliance, or other matters.

7. Consumer Guarantees Act and Fair Trading Act

Applicability of the Consumer Guarantees Act 1993 and Fair Trading Act 1986 depends on whether the transaction is "in trade." Parties agree to contract out of sections 9, 12A, 13, and 14 of the Fair Trading Act if in trade.

For transactions outside "in trade," these Terms and Conditions align with the Purchaser's rights under the Consumer Guarantees Act and Fair Trading Act.

8. Errors or Omissions

Clerical errors or omissions in quotations, acknowledgments, or invoices will be corrected without incurring liability.

9. Description of Products

Goods may undergo modifications and improvements without obligation on the Company's part.

10. Force Majeure

The Company is not liable for damages stemming from delivery delays or non-performance due to unforeseen causes such as acts of nature, conflicts, government intervention, or other factors beyond control.

Either party may terminate the order after 6 months of force majeure-related delay.

11. Assignment

The Company can assign rights and obligations; the Purchaser requires Company consent for assignment.

12. Information and Privacy

The Company collects, holds, and uses information as outlined in its Privacy Policy available on our website footer.

13. Intellectual Property

The Company retains intellectual property rights and confidentiality for goods. The Purchaser must report infringements. The Purchaser may bear costs related to claims.

14. Dispute Resolution

Parties should attempt negotiation, followed by mediation per Arbitrators’ and Mediators’ Institute of New Zealand Inc. protocol. If unresolved after 30 days, arbitration under the Arbitration Act 1996 is pursued.

Court proceedings require the above processes, excluding injunctive relief applications.

15. General

These Terms and Conditions are governed by New Zealand law. Both parties submit to New Zealand court jurisdiction.

These Terms and Conditions constitute the entire agreement, superseding prior communications.

If a provision is invalid, it's severed without affecting the remainder.

The Company's rights remain despite delayed enforcement. Waivers require written signed consent.
